Terms and Conditions for Distributors / Dealers / Sub-Dealers / Resellers

These terms and conditions ("Terms") govern the relationship between Muprice Retail India PVT LTD, referred to as "muprice," and any individual or entity, referred to as "Distributor / Dealer / Sub-Dealer / Resellers," who wishes to engage in a business relationship with muprice for the purpose of distributing and selling muprice products.

1. Independent Relationship

1.1. Distributors / Dealers / Sub-Dealers / Resellers are independent entities and not employees, partners, or representatives of muprice. This relationship does not constitute a joint venture or partnership between the parties.

2. Commission-Based Compensation

2.1. Distributors / Dealers / Sub-Dealers / Resellers will receive compensation solely in the form of commissions based on the orders made through their efforts.

2.2. Commissions are not fixed and may vary depending on the product sold and the recipient of the sale, whether it be a Distributor / Dealer / Sub-Dealer / Reseller or a retail customer.

2.3. muprice reserves the right to adjust commission rates at its discretion, providing reasonable notice to Distributors / Dealers / Sub-Dealers / Resellers in advance of any changes.

3. Sales and Marketing

3.1. Distributors / Dealers / Sub-Dealers / Resellers are responsible for marketing and promoting muprice products in accordance with muprice's branding and marketing guidelines.

3.2. Distributors / Dealers / Sub-Dealers / Resellers shall not engage in any deceptive or unethical marketing practices that may harm muprice's reputation.

4. Orders and Payment

4.1. Orders placed by Distributors / Dealers / Sub-Dealers / Resellers must comply with muprice's ordering procedures, including pricing and payment terms.

4.2. Commissions will be paid to Distributors / Dealers / Sub-Dealers / Resellers based on the actual sales made, subject to muprice's payment schedule and policies.

5. Intellectual Property

5.1. Distributors / Dealers / Sub-Dealers / Resellers shall not use muprice's trademarks, logos, or intellectual property without prior written consent, except as required for the promotion and sale of muprice products.

6. Termination

6.1. Either party may terminate this relationship at any time, with or without cause, by providing written notice to the other party.

6.2. Upon termination, Distributors / Dealers / Sub-Dealers / Resellers shall cease using muprice's trademarks and shall return any muprice materials or products in their possession.

7. Confidentiality

7.1. Distributors / Dealers / Sub-Dealers / Resellers shall maintain the confidentiality of any proprietary or confidential information provided by muprice, including but not limited to pricing, product information, and marketing strategies.

8. Governing Law

8.1. These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of laws principles.

9. Pre-Registration

9.1. The pre-registration process is solely for the purpose of maintaining contact information for interested Distributors / Dealers / Sub-Dealers / Resellers. muprice will send notifications when the e-commerce platform is ready. However, this does not guarantee the launch of the platform.

10. Data Usage

10.1. muprice respects your privacy. We do not sell Distributors / Dealers / Sub-Dealers / Resellers' data to any third party.

10.2. muprice may use the collected data for its own promotional purposes, business analytics, or business development. Any data usage will be in accordance with our Privacy Policy.

11. Changes to Terms and Conditions

11.1. muprice reserves the right to modify these Terms and Conditions at any time. Changes will become effective upon posting on the muprice website or providing written notice to Distributors / Dealers / Sub-Dealers / Resellers.

By engaging in a business relationship with muprice, Distributors / Dealers / Sub-Dealers / Resellers acknowledge their acceptance of these Terms and agree to comply with them. muprice reserves the right to modify these Terms at any time, with changes becoming effective upon posting on the muprice website or providing written notice to Distributors / Dealers / Sub-Dealers / Resellers.

12. Brand Identity

12.1. "Mustyle" is a brand name associated with muprice. The parent company is "muprice retail india pvt ltd." Any use of the brand "Mustyle" is subject to the terms and conditions set forth by muprice retail india pvt ltd.
